These terms and conditions of use govern your use of Wajeez application (hereinafter referred to as the “Application”), a standalone Application that provides you with summaries of non-fiction books, international novels, and other content in a concise and auditory format to help you grasp the main ideas as quickly as possible. The Application also offers full audiobooks and podcasts in Arabic and learning paths which are available only if the subscriber is a legal person (hereinafter referred to as the “Services”). The Application is operated and managed by Faylasof LTD and/or its subsidiaries and/or affiliates (“Faylasof”).

The terms and conditions apply to you whether you are a natural person or a legal person (a subscriber under a subscription agreement) including employees benefiting from the subscription of the legal person under the subscription agreement (“You” or “Your” or “User”).

Your use of this Application and Faylasof services constitute Your agreement to these terms and conditions of use and all applicable laws and regulations, and You agree to be responsible for compliance with local and international laws. We reserve the right to update and/or amend these terms and conditions of use at any time without prior notice, and these amendments will be effective from the date of its publication. For this reason, we encourage You to review the terms and conditions of use whenever You use this Application. If You do not agree to the terms and conditions of use of the Application, please do not use this Application.

Faylasof may modify and/or suspend and/or close and/or or deny access to the Application and/or suspend the subscriptions, whether permanently or temporarily, with or without cause, and at any time without prior notice. You irrevocably acknowledge and agree that we are not responsible to You or any third party for any update and/or modification to the Application and/or Services and/or subscriptions and/or any complete or partial suspension thereof. Any suspension and/or modification and/or closure and/or disabling of Services, subscriptions, or the Application will not lead to extending the duration of the subscriptions to an equivalent duration of the suspension and/or modification and/or closure and/or disabling in any form whatsoever. The User is obligated to pay the subscription fee for the period during which the Services, subscriptions, or the Application are suspended and/or modified and/or closed and/or disabled in the event that subscription fees are paid in advance, the User shall not be entitled to claim any refund of the subscription fees for such period, unless otherwise expressly mentioned in these terms and conditions.

The User is obligated to pay the subscription fee for the entire period, whether these subscriptions are utilized or not.

You are not allowed to use this Application or the Services provided through it if You are under the age of (18). By using this Application, You acknowledge and agree that You are at least the age specified above. This clause applies to natural persons as well as employees benefiting from the subscription of the legal person under a subscription agreement

Faylasof may assign any or all of its rights and obligations under these terms and conditions of use, including the management and operation of the Application, to any of its subsidiaries, affiliates, or any third party it deems appropriate without notice.

We are pleased to summarize the terms and conditions of use as follows:

We kindly request every User of the Application to thoroughly read and understand the terms herein before proceeding with the registration process. These terms and conditions are subject to principles of good faith and common practices on the Internet.

1. CREATING PERSONAL ACCOUNT

   • You must register and create an account to use Wajeez, access it, and use the provided Services.

   • You acknowledge that You have full authority to create an account and use the Application and Services.

   • By registering, You agree to provide truthful, accurate, up-to-date, and complete information about yourself.

   • You agree to use Your real name when registering, in addition to Your alias for Your account.

   • You are not allowed to use a false email address or other incorrect identification information, nor impersonate any person or entity.

   • You are responsible for any information related to Your account and any updates thereto. Keep Your account secure, and notify us immediately of any unauthorized access. We advise to use a unique strong password for the Application.

   • When filling out the registration form, Users will be explicitly asked for some information classified as "personal" or "private." The main purpose of collecting this information is to enable us to communicate with You and perform necessary statistics.

   • Users are encouraged to edit and update this information when necessary.

   • You are not allowed to sell, transfer, or license the use of Your account to any third party nor allow any third party to use it in Your name or on Your behalf.

   • The Application may use SMS messages to assist in verifying Your identity when logging in.

   • You acknowledge and agree that the Application may determine Your location to provide available Services through the use of Your IP address and GPS location system.

   • You acknowledge and agree that Faylasof may access, retain, and disclose information and content from Your account, such as Your visits, books, summaries, and podcasts in the favorite list, or those listened to or read by You and/or any other information if it is legally required to do so or believes in good faith that the mentioned access, retention, or disclosure is reasonably necessary for the following: (1) legal compliance, (2) enforcement of the terms and conditions of use, (3) responding to claims that any content violates the rights of others, (4) responding to Your customer service requests, (5) protecting the rights of Faylasof and its affiliates and subsidiaries, Users, and the public, or their property or personal safety, (6) implementing any agreement between Faylasof and/or its affiliates or subsidiaries on one hand and third parties on the other hand, and/or (7) any other reason deemed appropriate by Faylasof.

2. SUBSCRIPTION TYPES

   Wajeez offers various types of subscriptions that qualify You to use the Application as follows:

   • Free Account: Qualifies You to receive one free summary per day, provided You create a personal account and without the need to pay any fees.

   • Paid Subscription: this allows You to use the Application’s Services according to the package you select, provided that the subscription fee for that package is paid as set by Faylasof from time to time. The available packages are as follows:

   • Wajeez Premium package, which provides You with access to all the content on the Application during the subscription period except accessing full audiobooks. Wajeez Premium subscribers do not automatically receive access to full audiobooks; they must purchase it separately.

   • The full audiobook package, which provides access solely to full audiobooks.

   • Lifetime Subscription Package, which provides You with access for unlimited period to all the content on the Application except accessing full audiobooks.

3. SUBSCRIPTION RENEWALS

   Your paid subscription will be automatically renewed in the same package for a similar duration if You do not cancel Your paid subscription at least 24 hours before its expiration date.

4. HOW TO USE THE Application

   • Faylasof grants You a non-transferable, non-exclusive, limited, and revocable license to use the Application and its Services, solely to the extent permitted by these terms and as allowed by Your subscription. We reserve all other rights not expressly granted under these terms.

   • Users are not allowed to assign any and/or all of their rights and/or obligations under these terms and conditions of use.

   • You affirm, guarantee and undertake under these terms that any comment You post does not contain a content that is political, illegal, racist, whether directly or indirectly, or that affects the state, morals, ethics, public order, harmful, threatening, exploitative, harassing, torturous, defamatory, obscene, indecent, vulgar, scandalous, or that diminishes or undermines others based on gender, race, level, origins, religion, disability, or any other aspect.

   • You agree not to use the Application or Services for the purpose of posting any comment that breaches the rights of others in privacy, such as disclosing others' information without their consent.

   • You agree not to post or upload any comment that contains viruses, computer code, destructive or disruptive materials, or similar technologies, or to place any content that includes software containing viruses, computer codes, or other technologies designed to cut, destroy, or limit the operation of the Services, the Application, computer software or its equipment or communication devices.

   • You agree not to manipulate identification tools to hide or mislead the source of the posted or uploaded comment on the Application.

   • By accessing and using the Application, You are not allowed, under the legal responsibility, to modify, copy, republish, record, photograph, or use for any commercial or public purpose, whether commercial or non-commercial, any content or materials present in the Application, whether readable, audible, visual, or otherwise. You also agree not to attempt to dismantle or reverse engineer any program provided on the Application and not to violate any applicable local, national, or international law, whether intentional or unintentional.

   • You must comply with all notices and instructions sent to You by Faylasof from time to time while using the Application.

   • Your right to access and use the Application will automatically terminate if You breach these terms and condition of use and/or any of its provisions,

5. ACKNOWLEDGMENT OF RESPONSIBILITY

   • You acknowledge Your full and sole legal responsibility for the accuracy of any information and/or data and/or comments You post on the Application. You also acknowledge that such information and/or data and/or comments are original, do not infringe or violate the rights of third parties, and are not transferred or copied from any third party. You further acknowledge that we are not responsible for what You post, and You bear full responsibility towards us and towards any third parties as a result of Your non-compliance with this clause.

   • In the case of a legal person, You acknowledge Your full and sole legal responsibility for the acts and/or any negligence of Your employees. You release Faylasof, its affiliates, directors, officials, employees and agents from any legal liability or compensation against any third party arising from any breach of any provision of these terms and conditions of use and/or violation of the rights of any third party by You and/or Your employees.

6. INTELLECTUAL PROPERTY

   The Application and all its content, including but not limited to audio, texts, designs, graphics, logos, trademarks, icons, images, audiovisual materials, audiobooks, videos, dialogues, downloads, trade names, domain names, learning paths, trade dress rights, business fame, drawings, industrial models, database rights, usage rights, and data provided in the dashboard, as well as all other intellectual property rights and/or any derivative works thereof or related thereto, alterations, corrections, updates, or modifications thereto, whether registered or unregistered, including all applications and rights to apply for them, renewals or extensions, and priority rights in these rights, and all similar or equivalent rights or forms of protection existing or that will remain existing now or in the future anywhere in the world, are the exclusive property of Faylasof. This ownership is subject to copyright, trademark rights, and any other applicable laws. The User shall not acquire any right, ownership, or interest in any of the intellectual property rights belonging to Faylasof or any reputation in any trademark owned by or licensed to Faylasof.

7. USE OF CONTENT PROVIDED BY YOU AND OTHERS

   • You grant Faylasof a global, perpetual, irrevocable, non-exclusive license to use, store, copy, distribute, publicly display, modify, translate, create derivative works, and sublicense Your comments and any content provided by You in any known or future media. Faylasof also reserves the right to delete and remove such content from the Application.

   • You agree that we may use and assign all information related to Your use of the Application and the content and information You provide in a manner consistent with our policies.

   • You consent to the use of all Your data and information related to the actions You take on the Application for any reason deemed appropriate by Faylasof, including providing it to third parties.

8. PRIVACY POLICY AT WAJEEZ:

   Registration data and some other information about You are subject to the Wajeez Privacy Policy. For more information, please refer to the https://www.wajeez.com/privacy. You understand that by using the Services and the Application, You agree to the collection and use of the mentioned information (as outlined in the current Privacy Policy), including the transfer of such information to countries for storage, processing, and use by Faylasof and/or its affiliates and/or the sale and sharing of this data by Faylasof and its affiliates with third parties.

9. INDEMNIFICATION

   You agree to defend, indemnify, and hold harmless the Application, Faylasof, its affiliates, their directors, employees, consultants, and service providers from any harm, all claims, damages, costs, and expenses, including attorney fees, arising out of or related to Your use of the Application and/or Your violation and/or the violation of Your employees of any statement, warranty, or other provisions of the terms and conditions of use.

10. TERMINATION OF ACCESS TO SERVICES

    • Without Your right to claim any fees paid in advance, Faylasof reserves the right to terminate Your access to the Application if it determines, in its sole discretion, that Your use of the Application violates the terms and conditions of use. Upon termination of access, Faylasof has the right to prevent You from accessing the Application in the future and may also delete any information related to You.

    • You may terminate your subscription and access to the Services, and close your account with Faylasof for any reason or without cause, by submitting a termination request to Faylasof or directly through the settings.

    If You cancel your subscription, You will not receive a refund for any fees paid in advance. However, all content that You have purchased will remain available until the actual subscription period ends, allowing You to continue enjoying your previous purchases until the cancellation date and until the expiration of the actual subscription period, even after cancellation. In the event of a Lifetime Subscription cancellation, You retain the right to access Your previous purchases until the end of the subscription year in which the cancellation was made. In this event, the subscription year will conclude on the same day and month as the commencement date of Your subscription.

    • If You have any inquiries regarding subscription cancellation or access to content, please contact our customer service team via email at support@wajeez.co.

    • Notwithstanding the foregoing, if Your subscription type is a Lifetime subscription, Faylasof will, in the event of subscription termination or cancellation for any reason, provide You with a cash refund of the amount You paid for Your subscription, less USD15 for each year of the subscription or any part thereof, or any other amount determined by Faylasof from time to time.

11. GIFTS AND OFFERS

    • If You have purchased Wajeez gift certificate that allows You to use Premium Access for the period mentioned in Your email or card, You will have the right to use the Application during this period only.

    • Gift certificates and other promo codes cannot be redeemed for cash and cannot be refunded, exchanged, or used to purchase other codes.

    • Please note that, in addition to these terms and conditions of use, if You use a certificate or any other special offer, any additional terms that may apply to the gift certificate or offer (especially the validity period) will also apply. In case of conflict or inconsistency between the terms of this certificate or offer and these terms and conditions of use, the terms that are in the interest of Faylasof, according to the sole discretion of Faylasof, shall apply.

    • Once the period of the offer or gift card expires, the subscription ends automatically, and You will be returned to the free account accordingly. If You wish to continue using the subscription access, You can subscribe for a new subscription at any time.

12. COOKIES AND GOOGLE ANALYTICS

    The Application uses its own cookies and similar technologies to store some information and track data, such as the number of visitors and their information. The Application also contains some components sent by Google Analytics, which is an analytical service for web traffic provided by Google. These are third-party cookies collected and managed anonymously for monitoring and improving performance (performance cookies). Google Analytics uses "cookies" to collect and analyze information about how the Application is used. This information is collected through Google Analytics and processed for the purpose of sending reports to the Application.

13. FAYLASOF DISCLAIMER

    • The Application and Services are only for the purpose of sharing information. The Application is not responsible for any direct or indirect consequences of any action You take or do not take based on the content available on the Application or any other materials or comments on the Application.

    • The Application and Services are provided on an "AS IS" and "AS AVAILABLE" basis, and we do not provide any warranties regarding the continued security, protection, error-free operation, or that the Application will function without disruptions, delays, or imperfect operation. To the extent permitted by law, we disclaim all types of warranties, whether express or implied, including express and/or implied warranties of merchantability, fitness for a particular purpose, and non-infringement of rights and property. The Application does not guarantee that it will be available without any interruption or errors, or that the Application is secure, or that the Application or the Application service provider will be free of viruses, or that the information on the Application is true, accurate, suitable, useful, up-to-date, reliable, and complete. If You download any content from the Application, You do so at Your own discretion and at Your own risk. You are solely responsible for any damage to Your computer system or mobile phone or any loss of data resulting from downloading such content and any damages and losses of any kind resulting therefrom. Any advice or information You obtain from the Application does not constitute any warranty of any kind, and You alone bear any damages and losses that occur as a result thereof.

    • Your reliance on the accuracy of the content on the Application or the information or advice provided through it and its inclusiveness and usefulness is Your sole responsibility. Faylasof is not responsible in any way for the content, including any infringement of the intellectual property rights of any third party, or any error, deletion, or expression error. Faylasof will not be responsible for any loss or damage resulting from Your use of the content and Your reliance on it.

    • The Application and Services contain links to other applications, resources, and external websites. Since the Application has no control over these applications, websites, and sources, You acknowledge and agree that Faylasof is not responsible for the availability of these external applications, websites, and sources, and that it is not responsible for any content, advertisements, products, or other materials available on such external sources, applications and websites, and that Faylasof is not responsible for any damage or loss of any kind resulting therefrom. You acknowledge that these external sources applications and websites have their own terms of use, including privacy policies that will govern Your relationship, rights, and obligations with regard to these sources applications and websites, and that Faylasof has no control over them.

    • Any transaction between You and third parties through the Application is between You and the third party alone. Faylasof does not provide any warranties regarding the goods and services and other websites that appear in any comments of advertising or promotional nature on the Application, and You agree that the Application and Faylasof will not be responsible for any damage or loss of any kind resulting from these actions or Your dealings with any third parties through the Application.

    • Any materials obtained by using the Application or Services are obtained at Your discretion and at Your own risk, and You will be solely responsible for any damage to Your computer system or mobile phone or any loss of information resulting from Your downloading of any of the summaries, podcasts, software, materials from third parties, or those related to Faylasof or the Application or Your use of any of them, and for any damages and losses of any kind resulting from it.

14. LIMITATION OF LIABILITY

    • You agree that under no circumstances will Faylasof, its subsidiaries, affiliates, employees, directors, agents, or any of its representatives be responsible for any direct or indirect, intentional or unintentional, material or moral damages, or any harm, including but not limited to damages resulting from lost profits, loss of data arising from the use or inability to use the Application or materials on the Application, Services, unauthorized access to the Application, any changes in data transmission, reliance on any content on the Application, or any advice, information, or stories provided through the Application, or any error, negligence, or defect in the Application, Services, subscriptions, or any delay in accessing the information or Services provided on the Application and any other matters related to the Application and its use.

    • In any case, Faylasof’s total liability for any claims by the User regarding the Application or Services shall not exceed the total value of the last subscription paid by the User.

    • These limitations of liability will apply even if Faylasof has been notified of the possibility of such damages.

15. ENTIRE AGREEMENT

    • Except in cases where Faylasof and/or any of its affiliates or subsidiaries enter into a separate subscription agreement with the User, these terms and conditions of use, along with the documents referenced herein and any other referenced documents, constitute the entire agreement between You and Faylasof and/or any of its affiliates or subsidiaries regarding Your use of the Application and govern Your use of the Services, and supersede any prior versions of these terms and conditions of use. You may also be subject to additional terms and conditions that may apply when You use or purchase other specific Services or third-party’s content services software.

    • These terms and conditions of use do not constitute a partnership or employment relationship between Faylasof and/or any of its subsidiaries or affiliates on one hand, and the User on the other hand.

    • If any provision of these terms and conditions of use is determined to be invalid, it does not affect the validity of the remaining provisions.

    • All provisions of these terms and conditions of use that, by their nature, should survive termination, including, but not limited to, intellectual property provisions, Faylasof disclaimer, indemnity, liability limitation, and miscellaneous provisions, shall continue in effect after termination.

16. WAIVER

    The failure of Faylasof and/or its affiliates and subsidiaries to take any action in case of a violation of these terms and conditions of use by You or others does not constitute a waiver of its right to take action in case of subsequent or similar violations. If any content on this Application or any use of this Application violates the laws applicable in the place where You are when You enter the Application, then this Application is not intended for You, and we ask You not to use the Application. You are responsible for familiarizing yourself with the laws applicable to the terms and conditions of using the Application, and You are responsible for complying with them.

17. DISPUTE RESOLUTION AND APPLICABLE LAW

    • These terms and conditions of use and any other matter related to the use of the Application are subject to the laws of the Hashemite Kingdom of Jordan.

    • In the event of any dispute, claim, or controversy arising out of or relating to any matter executed on the Application, or the violation, enforcement, interpretation, or validity of these terms and conditions of use, or any part thereof ("Dispute"), the party receiving such a Dispute must first attempt to settle such a Dispute amicably by providing the other party with written notice (by email or first-class or registered mail) at the addresses specified for each party on the Application, describing the facts and circumstances (including any relevant documents) related to the Dispute and giving the other party a period of thirty (30) days to respond to the notice or resolve the Dispute. If the Dispute is not settled within a period of thirty (30) days from the date of sending the notice to the other party, the courts of Amman (Palace of Justice) shall have jurisdiction to settle the Dispute.
